Wholesale Printing For Distributors

1.1 The Wholesale Printing Program ("Program") is available exclusively to businesses that hold active, verifiable membership in one or more of the following recognized trade associations: SAGE, ASI (Advertising Specialty Institute), PPAI (Promotional Products Association International), APPA (Australasian Promotional Products Association), BPMA (British Promotional Merchandise Association), or any other comparable promotional products or wholesale printing trade organization as determined at the sole discretion of Team Apparel First.

1.2 Membership must be current and in good standing at the time of application and at all times during which wholesale pricing is accessed or orders are placed.

1.3 The Program is not available to end consumers, retail purchasers, or businesses without verifiable trade association membership. Team Apparel First reserves the right to deny or revoke access at any time for any reason.

1.4 Approved wholesale accounts are non-transferable and may only be used by the registered business entity and its authorized representatives.

2.1 By submitting the Wholesale Account Application, the applicant certifies — under penalty of account termination and potential legal action — that all information provided is accurate, complete, and truthful, including but not limited to trade association membership status and member ID numbers.

2.2 Team Apparel First may, at its sole discretion, request supporting documentation to verify membership including but not limited to: a membership certificate, association-issued ID card, or written confirmation from the applicable trade association.

2.3 Applicants must notify Team Apparel First promptly if their trade association membership lapses, expires, or is terminated. Continued use of wholesale pricing after a membership lapse constitutes a material breach of these Terms.

2.4 Team Apparel First reserves the right to reverify membership status at any time and to suspend or terminate wholesale access pending re-verification.

3.1 Wholesale pricing is confidential and proprietary. You agree not to publicly disclose, publish, post online, or share wholesale pricing with any third party who is not an employee or authorized representative of your registered business.

3.2 Wholesale prices are subject to change at any time without prior notice. Pricing confirmed in a written order confirmation is binding for that specific order only.

3.3 Volume discounts are calculated per item, per order. Discounts do not accumulate across multiple orders or over time.

3.4 Wholesale pricing may not be used as a basis for public advertising, social media promotions, or comparison pricing against retail or competitor pricing.

4.1 All orders require written confirmation and approval of a digital proof before production begins. Production timelines commence upon written proof approval, not order placement.

4.2 Wholesale accounts are responsible for ensuring that all artwork submitted is owned, licensed, or otherwise legally authorized for reproduction. Team Apparel First assumes no liability for intellectual property infringement arising from customer-submitted artwork.

4.3 Once proof approval is given and production has commenced, orders may not be cancelled or modified. Cancellations prior to proof approval may be subject to a design fee.

4.4 Team Apparel First guarantees production quality consistent with the approved digital proof. In the event of a production defect or deviation from the approved proof, Team Apparel First will reprint the affected items at no charge. Claims must be submitted within 10 business days of delivery.

5.1 Team Apparel First offers blind drop shipping to wholesale accounts upon request. Blind shipments will not include any Team Apparel First branding on packaging, packing slips, or shipping documentation.

5.2 The wholesale account holder is solely responsible for managing the end-client relationship, including any customer service, returns, or complaints related to items shipped directly to their clients.

5.3 Team Apparel First is not responsible for delays caused by incorrect shipping addresses provided by the wholesale account. Additional shipping fees for re-routing or re-shipping are the account holder's responsibility.

6.1 Payment is due prior to production unless a net payment arrangement has been expressly approved in writing by Team Apparel First.

6.2 Accepted payment methods include credit/debit card, ACH/bank transfer, and business check. Purchase Orders (POs) are accepted for approved accounts only.

6.3 Late payments on net-term accounts are subject to a 1.5% monthly finance charge on the outstanding balance. Team Apparel First reserves the right to suspend wholesale access for accounts with outstanding balances.

6.4 All prices are in U.S. dollars. Applicable taxes are the responsibility of the wholesale account holder.

7.1 Team Apparel First reserves the right to suspend or permanently terminate any wholesale account, without prior notice, for any of the following reasons: provision of false or fraudulent membership information; lapse of trade association membership; disclosure of wholesale pricing to unauthorized parties; outstanding payment obligations; misuse of the Program; or any conduct deemed harmful to Team Apparel First or its partners.

7.2 Upon termination, all outstanding orders will be fulfilled at standard retail pricing unless otherwise agreed in writing. Any unpaid balances become immediately due.

7.3 Terminated accounts may reapply only upon correction of the cause of termination and subject to re-approval at Team Apparel First's sole discretion.

8.1 Team Apparel First's total liability to any wholesale account holder for any claim arising out of or related to these Terms or any order shall not exceed the total amount paid by the account holder for the specific order giving rise to the claim.

8.2 Team Apparel First shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities, arising out of or related to the Program or these Terms.

8.3 Team Apparel First is not responsible for delays, defects, or non-performance caused by circumstances beyond its reasonable control including natural disasters, supply chain disruptions, carrier delays, or acts of government.

9.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law principles.

9.2 Any dispute arising out of or relating to these Terms or the Wholesale Program shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be subject to binding arbitration in Polk County, Iowa, in accordance with the rules of the American Arbitration Association.

9.3 The prevailing party in any dispute shall be entitled to recover reasonable attorneys' fees and costs.

10.1 Team Apparel First reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the wholesale Program after such changes constitutes acceptance of the updated Terms.

10.2 These Terms, together with the Wholesale Account Application and any written order confirmations, constitute the entire agreement between the parties with respect to the Wholesale Program and supersede all prior oral or written agreements, representations, or understandings.

10.3 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
